Disclosure Training ‘Boot Camp” for Public-Facing Employees
Objectives
Protect the company reputation by:
· Preventing inadvertent disclosure and confidentiality violations through disclosure training for employees
· Assuring that company disclosure governance documents are current and effective.
· Educating employees about the risks of insider trading violations.
Program
Develop and implement orientation program tailored to three distinct employee groups:
· Executive management,
· Outward-facing employees (i.e., those typically representing the company to media and at trade shows), and
· Others as appropriate, such as sales managers, engineers, facility managers, CSRs.
Develop Disclosure Committee structure, guidelines, and reporting procedures.
Include insider trading rules, pitfalls and examples of consequences to demonstrate that “little fish” do not escape detection.
Results
Managements demonstrate they take disclosure regulations seriously; in the event of future violations, such programs can mitigate in favor of the companies that employ such trading. No inadvertent disclosure issues at high profile trade shows such as the Consumer Electronics Show. Positive feedback from participants.
